0.) Introduction

Welcome to Focora ("we," "us," or "our"). By accessing or using the Focora platform, website, or any related services (collectively, the "Service"), you ("User" or "you") agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

If you do not agree to these Terms, you must immediately discontinue use of the Service. These Terms constitute a legally binding agreement between you and Focora.

1.) About Focora

Focora is an AI-powered productivity platform designed to help developers and professionals achieve deep, focused work. The Service includes: a personalized AI productivity coach, advanced Pomodoro and focus analytics, intelligent website and distraction blocking, data-driven task management, and a comparative performance dashboard.

Focora is intended solely for personal productivity purposes. Any use of the platform outside this intended scope is subject to the restrictions outlined in these Terms.

2.) Eligibility

To use Focora, you must:

Be at least 13 years of age (or the age of digital consent in your jurisdiction, whichever is higher).
Provide accurate and truthful information when creating your account.
Have the legal capacity to enter into a binding agreement.

By using Focora, you represent and warrant that you meet all of the above eligibility requirements. Focora reserves the right to suspend or terminate any account that does not meet these requirements.

3.) Account Registration & Security

To access certain features of Focora, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information to keep it accurate.
Keep your login credentials strictly confidential and not share them with any third party.
Notify us immediately at support@focora.app if you suspect any unauthorized access to your account.

You are solely responsible for all activity that occurs under your account. Focora is not liable for any loss or damage arising from your failure to comply with this section.

4.) Acceptable Use Policy

Focora is a productivity tool built for focused, professional use. By using the Service, you agree to use it only for lawful, constructive, and intended purposes. The following conduct is strictly prohibited:

4.1 Security & System Integrity

Attempting to probe, scan, or test the vulnerability of the Focora platform or any associated system or network.
Performing or facilitating denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks against Focora or its infrastructure.
Attempting to gain unauthorized access to any account, system, or network, including through brute-force attacks or credential stuffing.
Attempting to steal, guess, or otherwise obtain another user's password or account credentials.
Intentionally triggering bugs, glitches, or exploits within the platform for malicious or unauthorized purposes.
Injecting malicious code, malware, or scripts into the Service or any user device through the platform.
Circumventing, disabling, or otherwise interfering with security-related features of the Service.

4.2 AI Misuse

Focora's integrated AI assistant is provided exclusively to support your personal productivity within the platform. The following AI-related behaviors are not permitted:

Using the AI to generate content unrelated to your productivity, task management, or focus goals within Focora.
Attempting to use Focora's AI capabilities as a substitute for, or proxy to, a standalone AI service, external API, or business tool.
Spamming the AI with automated or bulk requests, including through scripts, bots, or third-party tools.
Attempting to extract, replicate, or reverse-engineer the underlying AI model or API provided through Focora.
Prompting the AI to generate illegal, offensive, discriminatory, or otherwise harmful content.
Using the AI to harass, manipulate, or harm other users or third parties.

4.3 Communication & Conduct

You must not upload or share content that is vulgar, abusive, hateful, sexually explicit, or otherwise offensive.
You must not intentionally provoke, bait, or attempt to elicit inappropriate or harmful responses from Focora's AI systems.
You must not use the platform to bully, harass, threaten, or intimidate any other user or individual.
You must not impersonate Focora, its team members, or other users.

4.4 Legal & General Restrictions

You must not use Focora for any illegal activity or in violation of any applicable local, national, or international law or regulation.
You must not scrape, crawl, or data-mine any part of the Focora platform without prior written permission.
You must not resell, sublicense, or commercially exploit any part of the Service without our explicit written consent.

5.) Intellectual Property Rights

5.1 Focora's Ownership

All content, materials, features, and functionality available through the Focora platform are the exclusive intellectual property of Focora and are protected under applicable copyright, trademark, trade secret, and other intellectual property laws. This includes, without limitation:

The Focora name, brand identity, and company logo.
All UI/UX design elements, visual design, layout, and interface components.
All source code, software architecture, algorithms, and technical infrastructure.
All written content, graphics, illustrations, icons, and multimedia assets.
All AI models, training methodologies, and productivity analytics systems.

You may not copy, reproduce, modify, distribute, reverse-engineer, or create derivative works from any part of the Focora platform, including its design, code, or branding, without our express prior written permission. Unauthorized use of any Focora intellectual property may result in immediate account termination and legal action.

5.2 Your Content

You retain ownership of any personal data, tasks, notes, or other content you submit to the Service ("User Content"). By using Focora, you grant us a limited, non-exclusive, royalty-free license to process and store your User Content solely for the purpose of providing the Service to you. We do not sell your User Content to third parties for commercial purposes.

5.3 Feedback

If you voluntarily submit suggestions, feature requests, or other feedback about the Service, you grant Focora a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback into the Service without any obligation or compensation to you.

6.) Privacy & Data

Your privacy is important to us. Our use of your personal data is governed by our Privacy Policy, incorporated into these Terms by reference. By using Focora, you consent to the collection, use, and storage of your data as described therein.

Focora collects usage data, including focus session history, task metrics, and distraction patterns, to power the platform's AI features and analytics. This data is processed on your behalf and used solely to deliver and improve the Service.

7.) Account Termination & Deletion

7.1 Termination by You

You may delete your Focora account at any time through your account settings. Upon deletion, your personal data and User Content will be removed from our active systems in accordance with our Privacy Policy and applicable data retention laws. Some anonymized or aggregated data may be retained for analytical purposes.

7.2 Termination by Focora

Focora reserves the right to suspend, restrict, or permanently terminate your account and block your IP address, at our sole discretion, with or without notice, if we determine that you have:

Violated any provision of these Terms, including but not limited to the Acceptable Use Policy.
Engaged in fraudulent, abusive, or harmful behavior directed at Focora, its systems, or other users.
Repeatedly misused the AI assistant or placed unreasonable load on the platform's infrastructure.
Provided false or misleading information during registration or while using the Service.
Engaged in any conduct that Focora reasonably determines to be harmful to the platform, its users, or its reputation.

Upon termination by Focora for a Terms violation, you forfeit access to all data and features associated with your account. Focora is not liable for any loss resulting from such termination.

7.3 Effect of Termination

Upon termination of your account for any reason, all licenses and rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination, including Intellectual Property, Limitation of Liability, and Dispute Resolution, shall survive.

8.) Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FOCORA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Focora does not warrant that the Service will be uninterrupted, error-free, or secure. The AI-powered features of Focora provide suggestions and analytics based on your usage data and are not a substitute for professional advice.

9.) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOCORA AND ITS FOUNDERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING:

Loss of profits, revenue, or business opportunities.
Loss of data or corruption of data.
Loss of goodwill or reputation.
Any damages resulting from unauthorized access to or alteration of your transmissions or data.
Any other intangible losses.

This applies regardless of the theory of liability, whether in contract, tort, negligence, or otherwise, and regardless of whether Focora has been advised of the possibility of such damages.

10.) Indemnification

You agree to defend, indemnify, and hold harmless Focora and its team members from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of or access to the Service.
Your violation of these Terms.
Your violation of any third-party rights, including intellectual property or privacy rights.
Any content you submit, post, or transmit through the Service.

11.) Modifications to the Service & Terms

Focora reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We also reserve the right to update these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this document and, where appropriate, notify you by email or in-app notification.

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.

12.) Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Focora is registered, without regard to conflict of law principles. Any disputes arising out of or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the courts of competent jurisdiction in Focora's home jurisdiction.

13.) Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Focora regarding the Service and supersede all prior agreements, understandings, or representations.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Focora.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Focora may freely assign these Terms without restriction.
